Sr. Counsel, General

What you'll be doing: Reports to the vice president, legal, corporate transactions and governance and is primarily responsible for providing legal counsel with regard to mergers and acquisitions, divestitures, joint ventures and similar corporate transactions across the the company, as well as assisting on certain matters relating to corporate governance, corporate finance and securities matters. In supporting enterprise efforts, this position requires close coordination and partnership with multiple functions throughout the company, including the corporate and business development teams, the business units, and all external consultants and outside counsel used during a corporate transaction. Oversees the full life cycle of the corporate transactions process from inception to due diligence and through negotiation, documentation and integration. Leading and coordinating due diligence across multiple functions and business units. Collaborating with the companys corporate and business development, tax, finance and HR/benefits teams and with business unit leaders on commercial, operational and legal matters. Actively managing outside counsel. Negotiating and drafting preliminary and definitive transaction documents.

What your background should be: Substantive experience in a range of general public company corporate matters, including corporate governance, corporate finance and/or securities matters. Demonstrated ability to effectively lead a team of individuals. Demonstrated ability to influence across multiple levels within an organization. Excellent written and verbal communication skills.
